## Question

Define project. Describe a joint venture project and the possibility of technology transfer (and capital transfer) through it, with a suitable example.

## Short answer

A joint venture project combines capital, technology, and management from local and foreign partners, sharing profit and risk. Technology transfer occurs as local staff learn from foreign experts, with training and eventual handover, e.g., a hydropower JV where the foreign partner supplies turbines and design while Nepali engineers are trained for operation.

## Answer

#### Project

A **project** is a temporary endeavour, with a definite start and end, undertaken by a team to create a unique product, service or result within limited time, cost and quality constraints. Examples: building the Kathmandu-Terai Fast Track, a 100 MW hydropower plant, a bridge, or developing a hospital information system.

#### Joint venture project and technology transfer

A **joint venture project** is one in which two or more organisations, usually a local and a foreign partner, combine capital, technology and management for a specific project and share profit, loss and control according to an agreement.

#### Technology and capital transfer
- The foreign partner brings advanced technology, machinery, design skill and often capital.
- The local partner brings land, local knowledge, labour, permits and market access.
- Local engineers and workers learn new methods by working with experts, so skills and know-how are transferred.
- Capital flows in through the foreign equity share and loans, and a part of the profit remains in the country.
- A training clause and a plan to hand over operation to local staff make the transfer effective.

**Example:** a Nepali company and a foreign hydropower developer form a joint venture to build a 100 MW plant. The foreign partner supplies turbines, design and finance; the Nepali partner handles licences, land and civil works. Nepali engineers are trained in operation and maintenance, and after the agreed period the plant is handed over to Nepal.

   A. Two or more parties share capital, risk, management and profit by agreement
   B. A project fully owned and funded by one government
   C. A project funded only by grants from the World Bank
   D. A project executed by a single contractor on a fixed price
Answer: A. In a joint venture, partners (often local and foreign) combine resources and share profit, loss and control. (Key point: Joint venture)

2. In a JV hydropower project, what does the local partner typically bring?
   A. Turbines, advanced design and foreign capital
   B. Only the profit share
   C. Licences, land, local knowledge, labour and market access
   D. Nothing but the name
Answer: C. The foreign partner brings technology and capital; the local partner brings land, permits and local knowledge. (Key point: Roles of partners)

3. How does technology transfer happen in a joint venture?
   A. The foreign partner sells the plant and leaves at once
   B. Drawings are kept secret from local staff
   C. Local staff avoid working with foreign experts
   D. Local engineers and workers learn new methods working with experts, supported by a training clause and handover plan
Answer: D. Working together and planned training move know-how to local staff. (Key point: Technology transfer mechanism)

4. How does capital transfer occur through a joint venture?
   A. Foreign equity share and loans flow in, and part of the profit stays in the country
   B. All profit is sent abroad and no capital comes in
   C. Only local money is used
