Short note: Company registration process

Short answer

Company registration in Nepal is done at the Office of the Company Registrar under the Companies Act 2063. Choose a company type and approved name, prepare the Memorandum and Articles of Association, submit them with fees to obtain the certificate of incorporation, then register for PAN/VAT and get other licences.

Write a short note on Company registration process.

A company is a legal person, separate from its owners, formed by registration under the Companies Act 2063. Registration is done at the Office of the Company Registrar (OCR), under the Ministry of Industry, Commerce and Supplies. A private company can have 1 to 101 shareholders; a public company needs at least 7 shareholders.

Process

  1. Choose the type (private, public, or non-profit) and a unique name; get the name approved by the Registrar.
  2. Prepare the Memorandum of Association (objectives, capital, name, address) and the Articles of Association (internal rules, board, meetings).
  3. Submit the application with the MOA, AOA, shareholder details, capital details and the prescribed fee. Most of this can now be done online.
  4. The Registrar examines the documents and issues the Certificate of Registration (incorporation). A public company also has to complete the prospectus and share issue before starting business.
  5. After registration: get PAN/VAT registration from the Inland Revenue Office, register with the local authority, and obtain other licences needed for the business. A company must keep books of accounts, hold annual general meetings and file annual returns.
